Important Information
These Terms of Service constitute a legally binding agreement between you and WILKAM CONSULTANCY LTD (Company Number: 15540262), registered at 124 City Road, London, EC1V 2NX, United Kingdom. Please read carefully before engaging our services.
1. Service Scope & Agreement
WILKAM CONSULTANCY LTD ("we", "us", "our") provides professional web development, SEO consulting, and digital marketing services. By engaging our services, you ("client", "you") agree to these Terms of Service. Services include but are not limited to: custom website development, e-commerce solutions, technical SEO audits, content optimization, local SEO, link building, and integrated digital marketing packages. All services are delivered digitally through secure online platforms, email, cloud-based collaboration tools, and client portals.
2. Digital Delivery & Fulfillment
All deliverables are provided digitally. Website files and source code are delivered via secure file transfer protocols (SFTP), GitHub repositories, or deployed directly to your hosting environment. SEO reports, audits, and documentation are provided as PDF files or through secure online dashboards with real-time data access. Training materials are delivered through video recordings, written documentation, and live screen-sharing sessions. Typical turnaround times: Starter projects (2-3 weeks), Professional projects (4-6 weeks), Enterprise projects (8-12 weeks). Projects begin within 2 business days of deposit payment receipt. Rush delivery available for 50% additional fee.
3. Client Responsibilities
You agree to provide: timely feedback within 5 business days of deliverable submission, necessary access credentials (hosting, domain, analytics, CMS), required content materials (text, images, branding assets), and availability for scheduled meetings and consultations. Delays caused by late client feedback or missing materials will extend project timelines accordingly. We are not responsible for delays caused by third-party services (hosting providers, domain registrars, payment processors).
4. Payment Terms
Payment terms are net 30 days unless otherwise specified in your service agreement. Project-based work requires 50% deposit before work begins, with remaining balance due upon completion. Monthly retainer services are billed on the 1st of each month, due within 5 business days. Late payments incur 1.5% monthly interest charge. We accept payment via Stripe (credit/debit cards), bank transfer, and PayPal. All prices are in GBP unless otherwise stated. Prices do not include VAT, which will be added where applicable.
5. Intellectual Property Rights
Upon full payment, you receive full ownership and intellectual property rights to custom-developed website code, designs, and content created specifically for your project. We retain rights to reuse general frameworks, templates, code libraries, and methodologies developed prior to or independent of your project. Third-party components (WordPress themes, plugins, stock images, fonts, JavaScript libraries) remain subject to their original licenses. You are responsible for obtaining and maintaining necessary licenses for third-party software. We retain the right to showcase your project in our portfolio unless you request otherwise in writing.
6. Warranties & Guarantees
We warrant that services will be performed professionally, competently, and in accordance with industry standards. We guarantee that custom code will be free from critical bugs for 30 days post-delivery (90 days for Professional and Enterprise plans). However, we cannot guarantee specific SEO rankings, traffic volumes, conversion rates, or revenue results, as these depend on numerous external factors including competition, market conditions, algorithm changes, and your own business practices. We do not warrant that services will be uninterrupted or error-free, though we commit to resolving issues promptly.
7. Limitation of Liability
Our total liability for any claims arising from services is limited to the total amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages including lost profits, lost revenue, lost data, or business interruption. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability). Some jurisdictions do not allow limitation of liability for consequential damages, so this limitation may not apply to you. We maintain professional indemnity insurance covering up to £1,000,000 per claim.
8. Service Level Commitments
We commit to: initial inquiry response within 4 hours during business hours (Monday-Friday, 9 AM - 6 PM GMT), emergency support response within 15 minutes for critical issues (24/7 availability), project proposal delivery within 24 hours of consultation, and monthly progress reports for ongoing projects. Business hours are Monday-Friday, 9:00 AM - 6:00 PM GMT, excluding UK public holidays. Emergency support is available 24/7 for critical issues (website downtime, security breaches, payment system failures) at standard rates for Enterprise clients, additional fees for other plans.
9. Confidentiality & Data Protection
We treat all client information as confidential and will not disclose it to third parties except as necessary to provide services or as required by law. We comply with UK GDPR and Data Protection Act 2018. Your data is stored securely on encrypted servers located in the UK and EU. We implement industry-standard security measures including SSL/TLS encryption, regular security audits, access controls, and backup systems. 10. Dispute Resolution & Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will first be addressed through good-faith negotiation between parties. If negotiation fails within 30 days, disputes will be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA). Arbitration will be conducted in London, England, in English. Each party bears their own legal costs unless the arbitrator determines otherwise. You may also have the right to refer complaints to the UK Information Commissioner's Office (ICO) regarding data protection matters.
11. Termination & Cancellation
Either party may terminate services with written notice. For project-based work, you may cancel within 14 days of project start if no deliverables have been provided, with full refund minus any third-party expenses already incurred. For ongoing retainer services, either party may terminate with 30 days written notice. Upon termination, you will receive all completed work and pay for work completed to date on a prorated basis. We reserve the right to terminate services immediately for non-payment, breach of terms, or abusive behavior. 12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. For existing clients, changes take effect 30 days after posting. Continued use of services after changes constitutes acceptance of modified Terms. We will notify active clients of material changes via email to the address on file. If you do not agree to modified Terms, you may terminate services as outlined in Section 11.
